Terms of Service.
The agreement between TaskQo and the agency using it, what each side is responsible for, and what happens when something goes wrong.
The agreement between Cloud Ventures, LLC, 99 Wall Street, New York, NY 10005, USA ("TaskQo", "we") and the agency or business using it (the "Customer", "you"): what each side is responsible for, what it costs, and what happens when something goes wrong.
This is the general version. A Customer that has given its company details in the service has these terms written for it, under the law of the country it is registered in.
Together with the Privacy Policy, the Data Processing Agreement and the Acceptable Use Policy, these terms are the whole agreement between the parties about the service.
1. This agreement
These terms cover use of TaskQo by an agency and by everyone the agency invites: owners, admins, managers and team members. Creating a workspace, or accepting an invitation to one, means accepting them.
In these terms, the service means the TaskQo web application, the desktop app, the APIs and anything else TaskQo provides under them; a workspace is one agency's separate area within it; and content is everything a workspace holds: recordings, transcripts, reports, settings and the records of the people in it.
Where the agency's owner accepts these terms, they confirm they are authorised to bind the agency. A person accepting an invitation accepts them for themselves only.
2. Who may use it
The service is for businesses. It is not offered to consumers for personal use, and it is not for anyone under 18. The Customer must be able to enter a binding contract in its own country, and must not be barred from receiving the service under section 5.
3. Accounts and roles
One person, one account. Managers and team members join by invitation from their agency; only the agency decides who is invited, in what role, and to which department. Do not share a password. Sessions can be revoked centrally, and every action is attributed to the account that took it.
The Customer is responsible for what happens under its accounts: keeping them secure, switching on two-step sign-in where it is offered, removing people who leave, and telling TaskQo promptly if it believes an account has been taken over. TaskQo is not responsible for loss caused by a password the Customer shared or failed to protect.
An owner can see and change everything in their workspace, including other people's settings. That is what the role is for, and the Customer decides who holds it.
4. Monitoring must be lawful, and it must be told
This is the clause that matters most. The agency is responsible for making sure the monitoring it switches on is lawful where its people work and that those people have been told about it. Rules differ sharply by country and by state, and some of what this software can do is not permitted everywhere.
TaskQo is built to support that: consent is required before capture by default, every capability is a separate permission, each person can see what is being recorded for them, and a person can pause capture for private time. Using the service to record someone who has not been told, or defeating those features, is a breach of these terms and a reason to suspend the account.
TaskQo does not advise on whether a particular use is lawful and is not the Customer's legal adviser. Where the law of a place requires something the service cannot do, the Customer must not use it there.
5. Acceptable use
Do not use TaskQo, its AI Employees or the apps you connect to it to:
- monitor anyone who is not working for you under an agreement that permits it;
- record personal devices, or people outside their working hours;
- record calls or meetings without the notice and consent the law requires where the participants are;
- send texts, calls, emails or marketing to people who have not agreed to receive them, or send bulk messages that break anti-spam or telemarketing law (in the US, for example, the TCPA and CAN-SPAM);
- place calls with an AI-generated or cloned voice;
- harass or deceive anyone, or impersonate a person or a company;
- make hiring, firing or pay decisions on AI output alone, or treat people differently because of a protected characteristic;
- capture material you have no right to hold, or resell what it captures;
- work around the consent, pause or transparency features, or reverse-engineer the desktop app to do so;
- probe, scan or load-test the service, or try to reach another workspace's data;
- resell, sublicense or run the service for a third party as if it were your own product, unless TaskQo has agreed in writing;
- use TaskQo in, or from, Cuba, Iran, North Korea, or the Crimea, Donetsk or Luhansk regions of Ukraine, or on behalf of anyone on a US sanctions list;
- do anything else that is unlawful where you, your team or the people you contact are.
The agency is responsible for what its accounts and AI Employees send and record. The full Acceptable Use Policy is part of these terms. We may pause a feature or suspend an account that breaks this clause, and will say why.
6. The desktop app
TaskQo grants the Customer a non-exclusive, non-transferable right to install and run the desktop app on computers used for its own work, for as long as these terms are in force. The app remains TaskQo's; nothing in these terms sells it.
The app updates itself so that every computer runs a version TaskQo supports. The Customer must not block updates, run a modified build, or prevent the app from showing a person what is being captured. Where the Customer's own policy requires it to review updates first, TaskQo will discuss a managed rollout.
The app captures only while a shift is open. Closing or pausing it stops capture, and that is deliberate: it is how private time stays private.
7. Your data is yours
The recordings, transcripts, reports and settings in a workspace belong to the agency. We do not sell them, and we do not use them to train models, ours or a vendor's. An agency can delete its media at any time and can export its reports. See the Privacy Policy for how it is stored and for how long, and the Data Processing Agreement for the obligations TaskQo takes on as a processor.
TaskQo may use statistics about how the service performs (volumes, error rates, cost), provided they identify nobody and cannot be traced back to a workspace.
8. Our intellectual property, and your feedback
The service, the software behind it and everything TaskQo publishes about it remain TaskQo's, as do the TaskQo name and marks. These terms grant the Customer the right to use the service, and nothing else.
If the Customer sends an idea or a suggestion, TaskQo may use it without owing anything for it. This is not a licence to anything else the Customer owns, and TaskQo claims nothing in the Customer's content.
TaskQo will not use the Customer's name or logo as a reference without written permission.
9. Other companies the service relies on
The service runs on infrastructure and AI from other companies, listed on the sub-processors page, and the Customer can connect further applications of its own choosing. TaskQo is responsible for the vendors it engages, under the Data Processing Agreement.
TaskQo is not responsible for an application the Customer connects, for what that application does with what the Customer sends it, or for its availability. That relationship is between the Customer and that provider.
10. Availability and support
We aim to keep the service running and to warn about planned interruptions, but we do not promise uninterrupted availability and these terms contain no service level agreement unless TaskQo has signed one separately. The desktop app buffers what it captures while it is offline and uploads when the connection returns, so a short outage does not lose a shift.
Support is by email to admin@taskqo.com, in English, during business hours. We aim to answer within one business day, and faster for anything that stops the service working.
We may change the service: features are added, improved and occasionally removed. Where a change removes something the Customer relies on, we give at least 30 days' notice and, where the change is material and adverse, the Customer may stop using the service and have the unused part of what it has paid returned.
11. New and experimental features
A feature marked beta, preview or experimental is offered as it is, may change or be withdrawn without notice, and carries no warranty or service level. Use it only where that is acceptable.
12. AI outputs are indicative
Productivity verdicts, call scores and written summaries are produced by models and can be wrong. They are there to direct attention, not to decide anything on their own. Do not use them as the sole basis for disciplinary or employment decisions. Open the underlying evidence, and correct a verdict when it is wrong.
Where a person at the Customer corrects a verdict, the correction and the model's original words are both kept and both shown to the person concerned. The Customer is responsible for the decisions it takes, whatever the service suggested.
13. Billing
Prepaid tokens. TaskQo is paid for with TaskQo Tokens, bought in advance ($1 = 100 tokens). Team members' seats, storage, AI review, transcription and the AI assistant use tokens at the rates shown on the Billing page.
Expiry and refunds. Bought tokens do not expire while the account is open. Trial tokens can only be used during the trial. Tokens are not refundable, except for a charge made in error or where the law requires a refund; write to us and we will look at it.
Auto-recharge. It is off unless the owner switches it on. Switching it on means agreeing to the terms shown above the tick box: each time the balance falls below the level the owner chose, we charge the saved card the amount they chose, at most five times a day. The owner gets an email receipt for every charge. One click on the Billing page switches it off, which stops future charges; charges already made are not refunded.
Postpaid. Some agencies are billed after use instead, by written agreement with TaskQo: usage is invoiced monthly and is due by the date on the invoice. If an invoice stays unpaid after its grace period, AI work pauses until it is paid.
Trial. The free trial ends after 7 days, or sooner when its tokens or limits run out. It does not turn into a paid plan by itself and no card is charged when it ends. After it ends, AI work pauses until tokens are bought.
At zero, TaskQo stops. When the balance reaches zero the service stops, not only the AI. The desktop app stops too: a shift cannot be started, and nothing is captured. Screenshots, screen recordings, call recording, AI review, the assistant, TaskQo Agents, connected apps, reports and notifications all pause. Four things keep working: signing in, buying tokens, reading and exporting everything already there, and deleting whatever you choose. A shift that was already running can still be closed, so hours already worked are recorded rather than lost. Nothing is deleted, nothing is disconnected: adding tokens starts everything again at once, with nothing to restore.
What your team sees. Someone whose tracker will not start is told that TaskQo is not available for their organisation and to contact their agency owner. They are not told about your balance. That is between TaskQo and you. While the service is stopped, nobody’s hours are being recorded, so the agency remains responsible for recording the time its people work by other means.
Prices and taxes. Prices may change on 30 days' notice, which does not affect tokens already bought. Prices exclude VAT, GST, sales tax and any other tax, which the Customer pays on top where the law charges it. Where TaskQo must withhold tax, the amount due is grossed up so TaskQo receives what was agreed.
Disputed charges. Tell us within 60 days of a charge if you believe it is wrong and we will investigate. Raising a chargeback with the card issuer instead, for a charge the Customer in fact authorised, is a breach of these terms and may suspend the account.
Suspension. We can suspend a workspace for a breach of these terms or an unpaid postpaid invoice. Suspension stops access and keeps the data; nothing is deleted because money is owed.
14. Confidentiality
Each side may learn things about the other that are not public: prices, plans, security details, the way the service is built. Each will use them only to perform this agreement, protect them as carefully as its own confidential information, and not pass them on, except to its own people and advisers who need them and are under the same duty, or where the law compels disclosure and the other side has been told in time to object.
This does not cover anything already public, already known without a duty of confidence, or worked out independently. The Customer's content is not merely confidential: it is governed by the Data Processing Agreement, which is stricter.
15. Each side's promises, and what is not promised
Each side promises it has the authority to enter this agreement, and will comply with the laws that apply to it in performing it. TaskQo promises it will provide the service with reasonable skill and care, and will not reduce the security measures described in the Data Processing Agreement.
Beyond that, and to the extent the law allows, the service is provided as it is. TaskQo does not promise that it will be uninterrupted or error free, that AI output will be accurate, or that it will meet a requirement the Customer has not agreed with TaskQo in writing. TaskQo gives no warranty that using the service is lawful in the Customer's circumstances: that is clause 4, and it is the Customer's to answer.
16. Putting things right
The Customer will cover TaskQo against claims brought by a third party (including by a person the Customer monitors, a person on a recorded call, or a regulator) that arise from the Customer using the service unlawfully, from monitoring without the notice or consent the law requires, or from a breach of clause 5.
TaskQo will cover the Customer against a claim that the service itself infringes a third party's intellectual property rights, and will either obtain the right to continue, change the service so it no longer infringes, or end the affected part and refund the unused portion. This does not apply where the claim arises from the Customer's own content or from use that breaks these terms.
In each case the side being covered must tell the other promptly, let it control the defence, and not settle without its agreement.
17. Liability
To the extent the law allows, neither side is liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss of data where it could have been avoided by the Customer exporting or by TaskQo's backups; and each side's total liability in any 12-month period is limited to the fees paid by the Customer in that period.
That limit does not apply to the Customer's obligations in clause 16, to either side's breach of clause 14, or to anything that cannot lawfully be limited, including, in every jurisdiction, death or personal injury caused by negligence, and fraud.
18. Force majeure
Neither side is liable for a failure caused by something genuinely outside its control, such as a natural disaster, war, a general internet or power failure, a government act, or the failure of a vendor that cannot be replaced in time. The affected side must tell the other and work to limit the effect. If it lasts more than 30 days, either side may end this agreement, and the Customer gets back the unused part of what it has paid.
19. Ending it
An agency can stop using TaskQo at any time, from the service, without giving a reason. We can suspend or end an account that breaches these terms (in particular clauses 4 and 5) and will say why; where the breach can be fixed, we will ask for it to be fixed first unless the breach is serious enough to need immediate action.
On termination the Customer can export its data for 30 days, after which the workspace is deleted and a deletion certificate is emailed, as the Data Processing Agreement sets out. Fees for the period before termination remain payable; unused prepaid tokens are not refunded unless TaskQo ended the agreement without the Customer being at fault, or the law requires it.
If TaskQo decides to stop providing the service it gives at least 90 days' notice, keeps export working throughout, and refunds the unused part of what has been paid.
Clauses 7, 8, 14, 16, 17 and 20 survive the end of this agreement, along with anything else that by its nature should.
20. Law and disputes
These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules, and the state and federal courts in New York County, New York have exclusive jurisdiction, except where the mandatory law of the Customer's own country requires otherwise, in which case that law and those courts apply to that extent.
Before starting proceedings, each side will raise the dispute in writing with the other and give 30 days for it to be resolved, unless urgent relief is needed to protect data or intellectual property.
21. Changes to these terms
We may change these terms. A change is announced in the service and owners and admins are asked to accept it; where a change is material and adverse to the Customer, it does not take effect for that Customer for 30 days, and the Customer may end this agreement within that period instead of accepting it. Carrying on using the service after a change has taken effect means accepting it.
22. The rest
- Notices to the Customer are given by email to its owners and in the service; notices to TaskQo go to admin@taskqo.com.
- Neither side may transfer this agreement without the other's consent, except to a successor in a merger or sale of substantially all of its business, on notice.
- If a term is found unenforceable, it is narrowed to what is enforceable and the rest stands.
- Not enforcing a term once does not give it up.
- Nothing here makes either side the other's agent, partner or employer.
- These terms are for the two parties: nobody else can enforce them.
- These terms, with the documents named in the introduction, are the whole agreement and replace anything said before. A purchase order's own printed terms have no effect.
